Installer Program Terms

These terms cover the Comffee Installer Program — the referral arrangement between Comffee Drink and Play ("Comffee", "we") and you, the independent technician who registered on comffee.org and received an installer code ("you", "installer").

You are an independent contractor, not an employee. Nothing here creates employment, a labor relationship, agency, partnership, or exclusivity for either side. You decide your own schedule, methods, tools, clients, and prices for your own services. You may install, recommend, or service competing software freely. We may recruit other installers anywhere, run any promotion, and sell directly to any cafe — there are no territories. Where our materials use words like "salary", they describe the feel of a recurring payout; legally, everything you earn under this program is a commission on collected revenue as defined below, and nothing else.

You cannot act for us: you have no authority to sign for Comffee, modify our prices or terms, promise features or refunds, or collect money on our behalf.

• Code — the personal referral code we issue you (e.g. TECH-K4M9). It stays our property; we may regenerate it for security reasons (you'll be notified and the new code inherits your book).
• Referred License — a Comffee AIccountant subscription license attributed to you under §6. Attribution is recorded by our system at the moment the cafe's first payment is confirmed by our payment processor.
• Active Install — a Referred License whose subscription is paid and unexpired at the monthly rollup timestamp.
• Collected Revenue — money for a Referred License's subscription that Comffee has actually received and kept. Amounts refunded, reversed, charged back, or held for fraud are not (or stop being) Collected Revenue.
• Commissionable Revenue — Collected Revenue in full. Every full-price payment a Referred License makes — its first (sign-up) month and every renewal and upgrade after it — is Commissionable in the month we receive it.
• Rollup Month — a calendar month in Philippine time (Asia/Manila). All counting, tiering, and statements use Rollup Months. The month is cut at 8:00 PM Manila on its last day (the 30th or 31st, or the 28th/29th in February); a payment confirmed after the cut counts in the next Rollup Month.
• Good standing — your account is active: terms accepted, not suspended, not terminated.

• You must be at least 18, provide accurate details (name, email, mobile number, GCash payout number, city), and keep them current. One account per person; duplicate or impersonated accounts may be removed.
• We may approve or decline any application, and approval may include verification steps. Your code works only while your account is in good standing.
• Acceptance is electronic. Ticking the acceptance box records the exact version of these terms you agreed to, with a timestamp — that record is what governs between us (Republic Act 8792 recognizes electronic contracts).

A cafe that enters your Code when subscribing is registered to you so your revenue share can accrue — the cafe pays the normal published price every month, including the first. The Code carries no discount; the price the cafe pays is always the one computed and shown by our system.

• Entering the Code is free to the cafe, and never a reason to charge them anything or to quote them a price other than our published one. Charging a cafe for the Code, or telling them it earns them a discount and pocketing a difference, is fraud under §10.
• Your own installation or service fees for your own work are your business, invoiced by you in your own name — just never presented as a Comffee charge.
• The subscription contract is between Comffee and the cafe directly, on the terms published at comffee.org/terms. You are not a party to it.
• Cafes pay Comffee only through the payment screen inside the app (QR Ph or the listed methods). Never accept subscription money in cash or into your own account "on behalf of" Comffee — doing so is grounds for immediate termination and we are not bound by any payment that didn't reach us.

Each Rollup Month, your share percentage is set by how many Active Installs you have at rollup time, and that percentage applies to all Commissionable Revenue from your Referred Licenses collected that month:

• Qualification: commissions start at 4 Active Installs. Below that, your Code still registers every cafe you install to you, but no commission accrues for that Rollup Month. This is what separates an installer building a book from a one-off self-referral.
• The tier is recomputed every Rollup Month and can go down as well as up — it always reflects your currently-paying book, not lifetime totals.
• A Referred License credits you for 24 months from its first paid subscription, for as long as it stays subscribed and this agreement remains in effect during that window — including its renewals and any upgrades (an upgraded plan's higher collected amount counts in full). After the 24th month the license stops earning commission; it still counts as an Active Install for your tier while it stays subscribed.
• The yearly package counts its full collected amount in the month we receive it; that license then counts as an Active Install for tiering throughout its paid year.
• Free plan: a cafe that signs up on the Free plan with your Code is linked to you, but earns you no commission and does not count as an Active Install while it stays free — there is no collected money to share. Your revenue share on that cafe begins only when it upgrades to a paid plan; its 24-month earning window starts from that first paid month.
• Commission accrues only on money we actually keep (§2). If a payment you were already paid on is later reversed, we deduct it from your next payouts.

Attribution is mechanical and recorded by our system — these rules are exhaustive:

1. The Code must be entered before payment on a new subscription, or at a cafe's Free-plan signup. Codes never attach to renewals or upgrades of existing licenses — with one exception: a Code entered at Free-plan signup is carried on that license and attaches when that same cafe makes its first paid upgrade.
2. Attribution happens only when the first payment is confirmed paid. An entered code with no completed payment records nothing; a Free-plan Code that never upgrades likewise records no attribution and earns nothing.
3. One machine, one attribution, forever. A machine that has ever held an attributed or previously-licensed subscription cannot be re-attributed — to you or anyone.
4. If two codes could ever compete, the one on the first confirmed payment wins. There is no retroactive attribution ("that cafe was mine" claims without a recorded code do not create attribution).
5. Referring a cafe you own or work at is allowed — the same rules apply, including the 4-active-cafe qualification before any commission accrues.
6. Our system's records are the authoritative and shared source of truth for attribution, counts, and amounts, and we mirror them to you in the §9 emails as they happen — we don't edit the numbers.

• Statements are cut on the last day of each Rollup Month (8:00 PM Manila) and you receive a statement email the same evening: your Active Installs, your tier, each collected amount counted, and your total. An install made even on the 29th is in that same month's statement.
• We pay to your registered GCash number after our payment processor (PayMongo) releases the month's collected funds to us — typically within a few banking days of the cut, never on a fixed calendar day. Payouts are made strictly from money already settled with us; if the processor's release is delayed, the payout follows as soon as the funds land, automatically.
• Minimum payout ₱100 — smaller balances roll over, never expire while the agreement is active, and are paid once the total crosses the minimum or the agreement ends.
• Report statement errors within 60 days of the statement email; we investigate against the recorded data and correct genuine errors in the next payout. After 60 days a statement is final except for fraud we discover ourselves.
• Taxes are yours. You are an independent contractor responsible for your own registration, filing, and taxes on program income. We may require your TIN or an official receipt, and we will withhold where the law requires us to.
• Payouts go only to the account holder's own GCash number. Keep it current; a payout sent to the number you registered is a valid payment.

• Honesty in the pitch. Claim only what Comffee's published materials state — never invent features, prices, uptime promises, or roadmap items. If it isn't on comffee.org, don't promise it.
• No fraud or farming. No fake cafes, no self-dealing loops designed to trigger discounts or tiers, no code-stuffing into orders you had no part in, no bribing staff of a cafe to switch codes.
• Hands off the software and its data. You may install and configure AIccountant for a cafe, but you get no license or IP rights in it, you may not copy, modify, resell, crack, or reverse-engineer it, and you must not extract or misuse any data you can see on a cafe's systems (their sales, members, staff) — that data belongs to the cafe.
• Brand rules. While in good standing you may describe yourself as a "Registered Comffee Installer" and use marketing materials we provide, unaltered. You may not register domains, pages, or handles containing the Comffee name, may not run paid ads on our brand terms, and may not present yourself as Comffee itself or its employee. This permission is revocable and ends with the agreement.
• Lawful conduct. You comply with the laws that apply to you and your marketing (including consumer-protection and anti-spam rules).

• Full transparency, automated. You're emailed when your account goes live, when a cafe's payment attributes to you, with the monthly statement, and if your account is ever suspended, or these terms change. What you see is what our system recorded.
• Earned is earned. If this agreement ends — by you or by us — everything properly accrued up to that moment is still paid at the tier it accrued under, on the normal schedule. Only amounts derived from fraud (§10) are voided.
• Changes never apply backwards. A change to the ladder or these terms takes effect only after 30 days' email notice, only prospectively, and — for these terms — only once you accept the new version. Until you accept, the version on your acceptance record governs what you already have; we may, however, require acceptance of the current version before new attributions are added.
• We may close the program with 30 days' notice. Accrued amounts survive per the above.

• If activity linked to your account looks manipulated (patterns of fake cafes, self-referral farming, collected cash, misrepresentation), we may suspend the account: the Code stops validating and payouts freeze while we investigate. We'll notify you, aim to conclude within 60 days, and tell you the outcome.
• During an investigation we may ask for reasonable evidence that installs are genuine (for example, the cafe's confirmation). Legitimate amounts are always paid; fraud-derived attributions and amounts are voided, and amounts already paid on them may be offset against future payouts or recovered.
• Fraud, collecting subscription money yourself (§4), or repeated misrepresentation (§8) are grounds for termination for cause.

• Either side can end this at any time, no penalty — you by emailing us from your registered address, we by notice to that address.
• On termination: your Code stops working, brand permission ends, and no new commission accrues after the termination date. Properly earned amounts through that date are paid per §7 and §9 ("earned is earned"), including balances below the minimum.
• Termination for cause (§10) additionally voids fraud-derived amounts.
• Sections that by nature survive (definitions, payment of earned amounts, records, liability, disputes, privacy, brand-cessation) survive termination.

• We collect your name, email, mobile, GCash number, and city only to run this program: attribution, statements, payouts, and the notifications listed here — never sold, never used for unrelated marketing (Republic Act 10173 applies). You may request deletion after the agreement ends and final amounts are settled; we retain what bookkeeping and tax law require us to keep.
• Cafes are told, in their flow, that a referral code links their subscription to an installer. You receive aggregate and per-event amounts about your own referrals — not cafe sales data or anything beyond what attribution requires.
• Biometric / face data (sensitive personal information under RA 10173). During signup you take a live selfie and a photo of your government ID. With your explicit consent (the separate tick-box on the signup form), we compute and store a numeric face signature from them — a mathematical vector, not a photo: it can only be compared to another face signature and can never be turned back into an image. We use it for one purpose only — to confirm the ID is really you and to stop a person we have banned for fraud from quietly re-registering under a new name, phone, or payout account. It is never sold, never used for marketing, and never shared beyond Comffee. Consent is separate from the rest of these terms: you may withhold it and still be reviewed manually, and you may withdraw it at any time — or ask what we hold and have it deleted (subject to fraud-record retention) — by contacting our Data Protection Officer, John Joseph Topacio, at comffee.dpo@gmail.com.

• Cap: except for fraud or amounts owed under §7, neither side owes the other more than the unpaid earned amounts under this program. Neither side is liable for the other's lost profits or indirect damages.
• Your work is yours: you are solely responsible for your own installation and hardware services and anything you promise a cafe beyond our published materials, and you'll answer for claims arising from those. Our software is ours: we are responsible for AIccountant and its billing; you make no warranty for us and are not liable for our software.
• No guaranteed earnings, volumes, territories, or program duration — your results depend on your own effort and your cafes' choices.

• Talk first. Disagreements start with a good-faith email exchange; the recorded system data and the notification emails are the shared source of truth.
• Philippine law governs. Anything unresolved goes exclusively to the proper courts of Quezon City, Philippines.
• You may not assign this agreement; we may assign it to a successor of the Comffee business (your earned amounts and these protections carry over).
• If a clause is held invalid, the rest stands. A right not enforced today is not waived. Notices go to the email each side has on record. This document (plus your versioned acceptance record and rate/ladder notices under §9) is the entire agreement about the program and replaces any informal promises.
